1. SPONSOR AND OPERATOR:
The sponsor and operator is USRx LLC, d/b/a Urban Skin Rx®, 8604 Cliff Cameron Dr. Suite 175, Charlotte NC 28269, United States (“Sponsor”).
2. ENTRY PERIOD:
The #usrxultabeyoncetrip (this “Giveaway”) begins on April 13th, 2023 at 8:30 AM Pacific Time (“PT”), and ends on April 20th, 2023 at 11:59:59 PM ET (the “Entry Period”). Sponsor’s computer is the official time-keeping device for this Giveaway. Sponsor will draw one (1) winner on or about April 21, 2023. Limit 1 prize per person.
3. ELIGIBILITY:
This Giveaway is open only to legal residents of the fifty (50) United States and the District of Columbia who are at least eighteen (18) years old at the time of entry. Employees of Sponsor, or immediate family member, or persons living in the same household, of such employees are not eligible to enter this Giveaway or win the prize. “Immediate family members” shall mean parents, spouses, children, siblings or grandparents and each of their respective spouses, regardless of where they reside. This Giveaway is subject to all applicable federal, state, and local laws and regulations. Void where prohibited by law. Participation constitutes entrant’s full and unconditional agreement to these Official Rules and Sponsor’s decisions, which are final and binding in all matters related to this Giveaway. Winning a prize is contingent upon fulfilling all requirements set forth herein.
4. HOW TO ENTER:
Persons who post their selfie in the Urban Skin Rx photo frame at Ulta FLC to their Instagram account during the Entry Period will automatically receive up to 1 entry in this Giveaway. You will be required to use #usrxultabeyoncetrip and tag @urbanskinrx and @ultabeauty. Incomplete or non-conforming entries are not eligible entries. Limit 1 entry per eligible entrant during the Entry Period. No automatic, programmed, robotic or similar means of entry are permitted. Sponsor is not responsible for incomplete, delayed, destroyed, garbled, misdirected, illegible or lost entries.
5. LIMITS:
Any attempt by any entrant to obtain more than the stated number of entries by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that entrant’s entries and that entrant may be disqualified. Use of any automated system or bot to participate is prohibited and will result in disqualification. In the event of a dispute as to any entry, the authorized account holder of the email address used to enter will be deemed to be the entrant. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Each potential winner may be required to show proof of being the authorized account holder, as the case may be. Proof of entering information at the Website will not be deemed proof of delivery or receipt by Sponsor. All entries become the exclusive property of the Sponsor and will not be returned or acknowledged.
6. DRAWING; ODDS; NOTIFICATION OF WINNER.
Sponsor will draw one (1) winner at random on or about April 21, 2023, from among all eligible entries received up to the day preceding the drawing date. Limit one (1) prize per person. Potential winners will be notified by direct message from and requested to provide address, telephone and other contact information for prize fulfillment. By entering, entrants give their express permission to be contacted by Sponsor by email for purposes of this Giveaway. Potential prize winner will be required to sign and return an Affidavit of Eligibility, Liability / Publicity Release and an IRS Form W-9 (Request for Tax Payer Identification) (“Winner Documents”) within five (5) days of receipt in order to claim prize. Potential winner may also be required to provide a copy of their driver’s license with the Winner Documents, and such other information as requested by Sponsor for eligibility verification. If: (a) any prize notification is returned as undeliverable, (b) a potential winner does not respond to initial notification by email or phone within two (2) business days of the date of notification, (c) a potential winner does not comply with these Official Rules, or (d) Winner Documents are returned as undeliverable or not received by their due date, prize will be forfeited and an alternate winner may be selected. In the event that a potential winner is disqualified for any reason, Sponsor will award the applicable prize to an alternate winner by random drawing from among all remaining eligible entries (time permitting in the case of the prize – as further described below in Prize section). Odds of winning any prize depend on the number of eligible entries received during the Entry Period. Receiving a prize is contingent upon compliance with these Official Rules.
7. PRIZE

If guest is a minor in his/her state of residence, winner must be the minor’s parent or legal guardian for the minor to be permitted to accompany winner to the Event. Failure to comply with these guest conditions, or for winner to meet eligibility requirements under these Official Rules, will result in forfeiting the prize package in its entirety. Sponsor will endeavor to select an alternate winner in such circumstances, time permitting (must occur prior to July 1st, 2023), or entire prize package may be forfeit if un-awarded at such time.
By accepting prize, winner acknowledges and agrees that Sponsor, and its designees may publicize the Event and agrees to allow Sponsor and Administrator to use photos and videos of winner participating in the Event worldwide and in perpetuity for promotional purposes, in any media, without further compensation or notice to winner, or review or approval by winner, except where prohibited or restricted by law. Sponsor makes no representation to winner as to the merchantability or fitness or suitability of any prize component for any purpose. No prize substitution or cash equivalent of prize is permitted except at Sponsor’s sole discretion, and then only for a prize of equal or greater value. Prize is non-transferable. The difference, if any, between the approximate retail value and the actual value will not be awarded.
Each winner is solely responsible for all federal, state and local taxes and any other costs or expenses in connection with claiming or using prize, which are not specified as part of the prize description in these Official Rules. All prize details not specified in these Official Rules will be determined in Sponsor’s sole discretion. Sponsor makes no representation to winner as to the merchantability or fitness or suitability of prize for any purpose, and Sponsor offers no manufacturer’s warranty on prize (or component of prize). Limit: One (1) prize per person in this Giveaway.
8. PUBLICITY RELEASE:
Except where prohibited or restricted by law, winner’s acceptance of prize constitutes winner’s consent for the Sponsor and its designees to use and/or publish winner’s full name, city and state of residence, hometown, photograph or other likeness, biographical information (in whole or in part), and/or statements made by winner, worldwide and in perpetuity for promotional purposes, in any media, without further compensation or notice to winner, or review or approval by winner.
9. GENERAL:
By entering this Giveaway, entrant hereby waives and releases, and agrees to hold harmless Sponsor, its representatives and prize providers and all of their respective officers, directors, employees, representatives and agents (collectively, the “Released Parties”) from and against any and all rights, claims and causes of action whatsoever that he or she may have, or which may arise, against any of the Released Parties for any liability for any matter, cause or thing whatsoever, including but not limited to any injury, loss, damage, whether direct, compensatory, incidental or consequential, to person, including death, and property, arising in whole or in part, directly or indirectly, from his or her acceptance, possession, use or misuse of the prize, his or her participation in this Giveaway, or his or her participation in any prize-related activity. By entering or participating in this Giveaway, entrant agrees to be bound by these Official Rules and waives any right to claim any ambiguity or error in these Official Rules or this Giveaway itself. The Released Parties assume no responsibility for electronic hardware, programming or software malfunctions, or failures, or line connections, accessibility or availability, or technical failures of any kind, or unauthorized human intervention, or the incorrect or inaccurate capture of any entry or other information, or for the failure to capture any such information. Sponsor is not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, or by any of the equipment or programming associated with or utilized in this Giveaway; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or this Giveaway; or (4) technical or human error which may occur in the administration of this Giveaway or the processing of entries. Further, if, for any reason, this Giveaway is not capable of running as planned by reason of infection by virus, bugs, worms, tampering, unauthorized intervention, fraud, technical failures, or any other causes which, in the sole opinion of the Sponsor, may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Giveaway, Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend this Giveaway, and randomly select the winner from the eligible entries received prior to the action taken.
Sponsor reserves the right in its sole discretion to disqualify and remove any post by an entrant that, in its sole opinion, does not comply with these requirements or these Official Rules. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of this Giveaway or to be acting in violation of these Official Rules, or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately damage any website or undermine the legitimate operation of this Giveaway is a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Acceptance of prize shall constitute and signify the winner’s agreement and consent that Sponsor may use his/her name, address (city and state only), likeness, and/or prize information for promotional purposes in any media now existing or hereinafter devised, without additional compensation, where legal.
10. DISPUTE RESOLUTION.
Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Giveaway or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by a federal or state court located in Mecklenburg County, North Carolina; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Giveaway, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with this Giveaway, shall be governed by, and construed in accordance with, the laws of the State of North Carolina, without giving effect to any choice of law or conflict of law rules (whether of the State of North Carolina or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of North Carolina.

Entrants’ personal information will be used to select winners, fulfill prizes, and communicate about this Giveaway and as set forth in Sponsor’s privacy policy, which is available at https://urbanskinrx.com/pages/privacy-policy.
